Terms of Service

1. Acceptance of Terms

By accessing or using Noise Distro ("the Platform"), operated by Riot Labs Ltd (Company Number 11078580, registered in England), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform.

2. Eligibility

You must be at least 18 years of age to create an account and use the Platform. If you are between 16 and 18, you may use the Platform with verifiable parental or guardian consent. By creating an account, you represent that you meet these age requirements.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration. Noise Distro reserves the right to suspend or terminate accounts that contain false or misleading information.

4. Content Rights & Ownership

By submitting content through the Platform, you represent and warrant that:

• You own or control all rights to the content being distributed
• Your content does not infringe upon the intellectual property rights of any third party
• You have obtained all necessary licenses, permissions, and clearances for any samples, covers, or third-party content included in your submission
• All metadata (artist names, track titles, credits) is accurate and complete
• Your content complies with all applicable laws and regulations

You retain all ownership rights to your original content. By using the Platform, you grant Noise Distro a non-exclusive, worldwide license to distribute, reproduce, and display your content solely for the purpose of providing distribution services to the Digital Service Providers (DSPs) you have selected.

5. Distribution Services

Noise Distro provides digital music distribution services to major and independent streaming platforms. We will use commercially reasonable efforts to distribute your content to the DSPs you select. However, we cannot guarantee acceptance by any specific DSP, as each platform maintains its own content policies and review processes.

All releases are subject to quality control review prior to distribution. Noise Distro reserves the right to reject or remove content that does not meet our quality standards or violates these terms.

6. Prohibited Content

The following content is prohibited on the Platform:

• Unauthorised cover songs: Cover versions require valid mechanical licenses (e.g., HFA, Harry Fox Agency) prior to submission
• Unauthorised remixes: Remixes require documented permission from the original rights holders
• AI-generated content: While permitted, AI-generated content must be clearly disclosed during submission. Content that misrepresents AI-generated material as human-created will be rejected
• Impersonation: Content that misrepresents the identity of the artist, including the use of "Official" in artist names without authorisation
• Karaoke and soundalike recordings: Instrumental recreations marketed as soundalikes or karaoke versions are not accepted
• "Type beat" content: Releases marketed as "type beats" without proper authorisation are prohibited
• Hate speech and illegal content: Content promoting violence, discrimination, or illegal activity
• Spam or low-quality content: Repetitive, auto-generated, or intentionally low-quality submissions designed to exploit streaming algorithms

7. Rights Declaration

Before any release can be submitted for distribution, you must confirm via our Rights Declaration that you own or control all necessary rights. This declaration is a binding legal statement. Submitting false rights declarations may result in immediate account termination, removal of all distributed content, and potential legal action.

8. AI-Generated Content Policy

Noise Distro accepts AI-generated or AI-assisted content provided that:

• The content is clearly flagged as AI-generated during the submission process
• You hold all necessary rights and licences for any training data or prompts used
• The content does not infringe on the style, likeness, or rights of any existing artist
• The AI-generated nature of the content is not deliberately concealed from listeners or DSPs

We reserve the right to add additional metadata or labelling to AI-generated content as required by DSP policies.

9. Takedown Policy

You may request removal of your content from distribution at any time through the Platform's takedown request feature. Takedown requests are reviewed and processed within 24-48 hours. Once approved, removal from DSPs may take additional time depending on each platform's processing schedules.

Noise Distro also reserves the right to issue takedowns on content that violates these terms, infringes on third-party rights, or is subject to valid DMCA or equivalent copyright claims.

10. Revenue & Payments

Revenue generated from streaming and downloads is collected from DSPs and distributed to artists according to the Platform's current fee structure. Payment schedules, minimum payout thresholds, and commission rates are detailed in your account dashboard and may be updated from time to time with reasonable notice.

You are responsible for providing accurate payment information and for any tax obligations arising from revenue earned through the Platform.

11. Artificial Streaming Prohibition

The use of bots, click farms, stream manipulation services, or any other artificial means to inflate streaming numbers is strictly prohibited. Noise Distro employs automated and manual monitoring to detect artificial streaming patterns. Violations will result in:

• Immediate removal of affected releases
• Forfeiture of any revenue generated through artificial streams
• Potential account suspension or termination
• Reporting to affected DSPs

12. Termination

Noise Distro may suspend or terminate your account at any time for violation of these terms. You may terminate your account at any time by contacting support. Upon termination, we will use commercially reasonable efforts to remove your content from DSPs, though cached or previously downloaded content may remain accessible.

13. Limitation of Liability

To the maximum extent permitted by law, Noise Distro and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, or data, arising from your use of the Platform.

Our total liability for any claim arising from or related to these terms shall not exceed the total fees paid by you to the Platform in the twelve (12) months preceding the claim.

14. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
